The Job

Description de l'emploi Role Context: The Corporate Governance & Secretariat function (CG&S) serves as principal advisor to boards of directors on corporate governance matters, and leads and implements a world-class corporate governance practice throughout the Group providing end to end governance advice. The CG&S function consists of c.240 FTE across 25 countries. The role holder will have the opportunity to develop, above all, his / her international mindset and skills, stakeholders' management, organisational skills in a multicultural and expertised team. This role provides a unique opportunity to take on a high profile role and to work with the most senior decision makers in the entities and with external Board members. The role holder as part of the CG&S team will drive the function's 5 priorities: 1. Protecting the Bank, for example advising the Board and management on their statutory and regulatory obligations or advising on the practical application of corporate governance best practice 2. Connecting the Bank, for example helping to build better connections between the Board and management or between Group entities 3. Supporting the delivery of strategy, for example enabling constructive dialogue between the Board and management when establishing and implementing strategy 4. Drive informed decision making, for example taking the necessary action to ensure that decision making is taken at the right level or ensuring that decisions are well-informed and of highest quality 5. Simplifying Governance, for example utilising technology to improve efficiency and effectiveness of Group's corporate governance arrangements Principal Accountabilities: The role holder will be responsible for all governance activities for HSBC Assurances Vie (France) (INFR) and HSBC Global Asset Management (France) (AMFR) Boards, including, but not limited to: • Advise executive and non-executive directors on all corporate governance matters • Supporting/leading ad hoc projects • Engaging with stakeholders for all the required tasks • Guarantying corporate governance regulatory oversight on insurance and asset management • Managing, and ensuring compliance with best practice governance procedures for the team's areas of activity, evaluation of the functioning of the board, directors' training, or search for new directors • Delivering day to day Non-Executive Directors requirements • Planning of Board meetings • Reviewing and advising on papers, writing of agendas and minutes Conditions To succeed in this job, you should have those experiences and skills: Experience • Legal or Compliance background or • Between 3 and 5 years of experience in a similar job Skills • Knowledge of governance requirement for financial institutions and/or of risk in the financial industry • Outstanding verbal, written and interpersonal communication • Organisational skills • Stakeholders' management • Team spirit • Ability to analyse and synthetise a huge amount of information • Fluent in French and really strong level in English
